Acceptance of Terms
By accessing or using The Last Billboard, you agree to these Terms of Use. If you do not agree, do not use the service.
Service Description
The Last Billboard is a digital advertising platform where users bid on space on a shared canvas. Slots are assigned based on bid amount, with size growing logarithmically.
Once the countdown ends, the billboard enters a permanent frozen state and no further changes are possible.
Account Registration
You must create an account using email authentication (magic link) in order to place bids.
You are responsible for maintaining the confidentiality of your account and for all activity occurring under it.
Eligibility
You must be at least 18 years old and have full legal capacity to use the service and place bids.
By using the service you confirm that you are legally and financially able to place legally binding bids.
The service may not be used by persons from sanctioned countries or those listed on the sanctions lists of Switzerland, the EU or the USA.
Bidding Rules
Minimum bid: The platform enforces a dynamic minimum bid amount.
Platform fee: All bids are subject to a 10% platform fee.
Slot size: Slot size is calculated logarithmically based on the bid amount to ensure fairness.
Displacement: Other users may outbid your slot. If displaced, your slot moves to a new position or leaves the billboard.
Refund policy: If your slot is displaced, you automatically receive 90% of your bid as a refund. The 10% platform fee is non-refundable.
Final bids: Bids are final and irrevocable once placed. You cannot edit or cancel a bid.
Right of Withdrawal
Under Swiss law, there is no statutory right of withdrawal for online purchases of digital services (Art. 40a CO only applies to doorstep transactions and contracts at promotional events). Your bid is binding upon submission.
Consumers residing in the EEA/EU have, in principle, a 14-day right of withdrawal. However, this does not apply under Art. 16(b) and (m) of EU Consumer Rights Directive 2011/83/EU, as this is a public auction conducted electronically and the immediate supply of digital content.
By placing your bid, you expressly consent to immediate performance of the contract and waive — to the extent legally permissible — the right of withdrawal.
Content Policy
You are solely responsible for the content you upload. By placing a bid, you confirm that your content does not violate any laws or third-party rights.
Prohibited content:
> Pornography or sexually explicit content
> Graphic violence or gore
> Hate speech, discrimination or harassment
> Malware, phishing links or malicious content
> Copyright or trademark infringement
> Illegal goods, services or activities
> Spam or misleading content
We reserve the right to remove prohibited content without refund. Repeated violations may result in account suspension.
By uploading content, you grant us a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to display, reproduce, archive and use your content within the service and for marketing purposes related to the service (e.g. preview images, historical documentation of the billboard). This license applies for the duration of the display and indefinitely for the historical archive of the frozen billboard.
Payment Terms
All payments are processed via Stripe. By placing a bid, you agree to Stripe's Terms of Service.
All bids are in CHF. Currency conversion fees may apply.
You agree not to initiate chargebacks except in cases mandated by applicable law. Unjustified chargebacks will result in immediate account suspension and may be pursued legally.
Limitation of Liability
The Last Billboard is provided "as is" without any warranty. We do not guarantee uptime, availability or slot persistence.
We are not liable for user-generated content. Users are solely responsible for their slots.
We are not liable for payment processing errors caused by Stripe or your payment provider.
To the maximum extent permitted by law, we exclude all liability for indirect, incidental or consequential damages. Mandatory statutory liability (in particular for intent or gross negligence) remains unaffected.
Indemnification
You agree to indemnify us from all claims, damages or costs arising from your use of the service, your content or your breach of these terms.
Billboard Freeze
When the countdown ends, the billboard freezes permanently. All slots become immutable.
No refunds are granted for slots active at the time of freeze, regardless of ownership duration — the contractual performance (display until freeze) is deemed fully rendered.
Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control, including natural disasters, war, cyberattacks, power outages, governmental orders or failures of third-party providers (Stripe, Vercel, Supabase). Our contractual obligations are suspended during such events.
Termination
We reserve the right to suspend or terminate accounts that violate these terms. Active slots may be removed without refund in case of serious violations.
Governing Law
These terms are governed exclusively by the law of Schweiz. Exclusive place of jurisdiction is the registered seat of the operator (Aarau, Switzerland), to the extent legally permissible. Mandatory consumer protection provisions at the user's place of residence remain unaffected.
Dispute Resolution
Swiss consumers may contact the competent cantonal conciliation authority before pursuing legal action.
EU consumers may use the EU online dispute resolution platform at https://ec.europa.eu/consumers/odr
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body.
Changes to Terms
We may update these terms at any time. Material changes will be announced with 14 days' notice. Continued use constitutes acceptance.
Severability
If any provision of these terms is invalid, the remaining provisions remain fully effective.
